Terms of Service

Welcome to VowchedMe. These Terms of Service (“Terms”) are a legal agreement between you and VowchedMe, LLC (“VowchedMe,” “we,” “our,” or “us”) governing your use of our website at vowchedme.com and our platform, products, and services (collectively, the “Services”).

By creating an account or using our Services in any way, you agree to these Terms. If you do not agree, do not use VowchedMe.

You must be at least 18 years old to use VowchedMe.

What VowchedMe Is

VowchedMe is a video-powered reputation platform. It lets professionals build a public profile, collect short video testimonials (“vowches”) from people they’ve worked with, and generate a Reputation Index Score based on those vowches. Employers and other users can view public profiles to evaluate professional credibility.

Your Account

When you create an account, you agree to:

• Provide accurate, current, and complete information about yourself
• Keep your password secure and not share it with anyone
• Notify us immediately at info@vowchedme.com if you suspect unauthorized access to your account
• Take responsibility for all activity that occurs under your account

You may only create one account per person. Accounts created on behalf of someone else without their knowledge or consent are prohibited.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used in a way that harms other users or the integrity of the platform.

Your Profile and Content

You own the content you post to your VowchedMe profile. By posting content — including your bio, professional information, and any media — you grant VowchedMe a non-exclusive, royalty-free, worldwide license to display, store, and distribute that content as part of providing the Services.

You are responsible for everything on your profile. By using VowchedMe, you agree that your profile content:

• Is accurate and not misleading
• Does not impersonate another person or organization
• Does not violate anyone else’s intellectual property, privacy, or other rights
• Does not contain unlawful, harassing, defamatory, or harmful material

We do not verify the accuracy of profile content and are not responsible for any false or misleading information users post. If you believe a profile contains false information about you, contact us at info@vowchedme.com.

Video Vowches

Video vowches are central to VowchedMe. This section governs how they work and what both parties agree to.

If you record and submit a vowch for another user, you agree that:

• Everything you say in your vowch is truthful and based on your genuine first-hand experience working with that person
• You have the right to submit the vowch and it does not violate any confidentiality agreement, employment contract, or third-party rights
• Your vowch may be displayed publicly on that person’s profile and viewed by employers, connections, and the general public
• You consent to VowchedMe storing and displaying your video, name, and professional title as part of the vowch
• You will not submit a vowch that is false, defamatory, harassing, or intended to harm the recipient’s reputation

If you receive a vowch on your profile, you agree that:

• You will not manipulate, edit, or misrepresent the content of vowches you display
• You accept responsibility for which vowches you choose to pin and display publicly

Vowch removal:

A vowcher may request removal of their video at any time by emailing info@vowchedme.com. A profile owner may remove any vowch from their profile at any time in account settings. We will process removal requests within 30 days.

VowchedMe does not verify vowch content. We are not responsible for false, inaccurate, or defamatory statements made in vowches. If a vowch contains content that violates these Terms, report it to info@vowchedme.com and we will review it promptly.

Reputation Index Score

Your Reputation Index Score is generated automatically by VowchedMe based on vowch data, network connections, and platform activity. It is intended as a general indicator of professional reputation on our platform.

You agree and acknowledge that:

• The Reputation Index Score is not a professional credential, certification, employment reference, or background check
• VowchedMe makes no warranty that your score accurately reflects your professional ability, character, or suitability for any role
• VowchedMe is not liable for any employment decision, missed opportunity, or other outcome related to your score
• Scores may change over time as vowches are added, removed, or updated
• Attempting to manipulate your score through fake accounts, coordinated vowch submissions, or other dishonest means is a violation of these Terms and may result in account termination

Paid Plans

VowchedMe offers two paid subscription plans: Pro ($20/month) and Career Accelerator ($50/month). By subscribing to a paid plan, you agree to the following:

Billing:

Subscriptions are billed monthly on the date you first subscribe. Payments are processed through Stripe, Inc. By providing payment information, you authorize VowchedMe to charge your payment method on a recurring monthly basis until you cancel.

Cancellation:

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

Refunds:

We do not offer refunds for partial months or unused time on a subscription. If you believe you were charged in error, contact us at info@vowchedme.com within 14 days of the charge and we will review it.

Plan changes:

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of your current billing period. Your vowches are preserved regardless of plan changes.

Price changes:

We may change our subscription prices at any time. If we increase the price of your current plan, we will give you at least 30 days’ notice by email. Your continued use of the paid plan after the price change takes effect constitutes your acceptance of the new price.

What You Cannot Do

To keep VowchedMe trustworthy and useful for everyone, the following are prohibited:

• Creating fake accounts or impersonating another person or organization
• Submitting false, fabricated, or misleading vowches
• Coordinating with others to artificially inflate a Reputation Index Score
• Harassing, threatening, or intimidating other users
• Scraping, crawling, or harvesting data from the platform without our written permission
• Using the platform to spam, solicit, or send unsolicited commercial messages
• Attempting to gain unauthorized access to any account, system, or data
• Using VowchedMe for any unlawful purpose or in violation of any applicable law
• Uploading malware, viruses, or any code designed to disrupt or damage the platform

Violations may result in immediate account suspension or termination without notice.

Intellectual Property

VowchedMe owns all rights to the platform, including its design, code, features, branding, and the “VowchedMe,” “Vowch Score,” and “Reputation Index” names and marks. Nothing in these Terms gives you the right to use our name, logo, or trademarks without our written permission.

You retain ownership of the content you post. By posting content, you grant us the license described in Section 3. You do not grant us the right to sell your content to third parties.

Third-Party Services

VowchedMe integrates with third-party services including Google, LinkedIn, and Stripe. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.

Our platform may contain links to external websites. We do not endorse and are not responsible for the content or practices of any linked sites.

Disclaimer of Warranties

VowchedMe is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that:

• The platform will be uninterrupted, error-free, or secure at all times
• Any vowch content is accurate, truthful, or free from defamation
• Your Reputation Index Score will result in any employment outcome
• The platform will meet your specific expectations or requirement

To the fullest extent permitted by law, VowchedMe disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by applicable law, VowchedMe and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost employment opportunities, reputational harm, or data loss — arising from your use of or inability to use the Services.

Our total liability to you for any claim arising out of or relating to these Terms or the Services will not exceed the greater of: (a) the amount you paid to VowchedMe in the 12 months preceding the claim, or (b) $100.

Some jurisdictions do not allow limitations on certain damages, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless VowchedMe and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Content you post, including vowches you submit
• Your violation of these Terms
• Your violation of any third party’s rights

Termination

You may close your account at any time by emailing info@vowchedme.com or using the account deletion option in your settings.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if your account poses a risk to other users or the platform, or if we discontinue the Services. We will make reasonable efforts to notify you before termination unless doing so would cause harm or is prohibited by law.

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination — including Sections 5, 10, 11, 12, and 14 — will survive.

Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles.

If you have a dispute with us, please start by emailing info@vowchedme.com. Most issues can be resolved quickly and informally.

If informal resolution fails, any dispute arising from these Terms or the Services will be resolved through binding arbitration in Harris County, Texas, administered by JAMS under its applicable rules. You and VowchedMe each waive the right to a jury trial and the right to participate in a class action lawsuit or class-wide arbitration.

This arbitration agreement does not prevent either party from seeking emergency injunctive relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

General

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and VowchedMe regarding the Services.
• Changes to these Terms: We may update these Terms at any time. We will notify you by email and post the updated Terms with a new effective date. Your continued use of VowchedMe after changes take effect means you accept the updated Terms.
• Severability: If any part of these Terms is found unenforceable, the rest of the Terms remain in effect.
• No waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
• Assignment: You may not transfer your account or these Terms to anyone else. We may transfer our rights under these Terms in connection with a merger, acquisition, or sale of assets.
